‍1. User's Acknowledgment and Acceptance of Terms
T-suite, LLC, a Georgia limited liability company (referred to as “T-suite,” “us,” “we,” or “our”), provides the website located at www.t-suite.net, together with the services, programs, content, materials, and other resources made available through the website (collectively, the “Site” and/or “Services”).

These Terms of Use (“Terms”) apply to your access to and use of the Site and Services. When using particular Services or materials available through the Site, you may also be subject to additional guidelines, rules, or terms applicable to those Services or materials. Such guidelines and rules are incorporated into these Terms by reference.

BY ACCESSING OR USING THIS SITE OR ANY OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE SITE OR SERVICES.

T-suite various Services available through the Site. The Services may include leadership development, training, educational resources, events, communications, programs, materials, and other Services offered by T-suite from time to time.

Certain Services may require registration, payment of fees, creation of an account, or acceptance of additional terms. Any applicable fees, payment terms, registration requirements, or additional terms will be disclosed to you at the time the applicable Service is offered.

You are solely responsible for providing, at your own expense, all equipment, Internet access, and other resources necessary to access and use the Site and Services.

We reserve the right to modify, suspend, or discontinue the Site or any Service, or any feature thereof, at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Any new features or Services that augment or enhance the then-current Site or Services shall also be subject to these Terms unless otherwise stated.

You understand and agree that temporary interruptions of the Services may occur as normal events. You further understand and agree that we have no control over third-party networks or services that you may access in connection with your use of the Site and Services, and therefore delays or disruptions in such networks or services may be beyond our control.

3. Registration Data and Privacy

If you voluntarily provide your mobile telephone number and expressly opt in to receive SMS messages from T-suite your mobile number and SMS consent information will be handled in accordance with our Privacy Policy and the SMS provisions of these Terms.

4. Payment of Fees
If you subscribe to or purchase a Service that requires payment of a fee, you agree to pay all fees associated with that Service.

For charges for Services, you agree to provide accurate and complete billing information, including valid payment information, your name, address, telephone number, and any other information reasonably required to process your payment.

Recurring charges, cancellation terms, refunds, and other payment conditions will be disclosed at the time of purchase or subscription and may be governed by additional terms applicable to the particular Service.


5. Conduct on Site
Your use of the Site and Services is subject to all applicable laws and regulations, and you are solely responsible for the content of your communications and activities through the Site.

You agree that you will not upload, share, post, transmit, or otherwise distribute or facilitate distribution of any content that:
1. Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another person's privacy, tortious, or otherwise violates applicable law or these Terms;

4. Constitutes unauthorized or unsolicited advertising, junk or bulk email, spam, chain letters, unauthorized solicitation, or unlawful gambling;
5. Contains viruses, malicious code, files, or programs designed to disrupt, damage, limit, or obtain unauthorized access to software, hardware, telecommunications equipment, or data;
6. Impersonates any person or entity, including any T-Suite employee or representative; or
7. Otherwise interferes with the operation of the Site or the ability of others to use and enjoy the Site or Services.

We reserve the right, in our sole discretion, to remove content that we determine violates these Terms or is otherwise harmful, objectionable, or inaccurate.

We may terminate or suspend your access to the Site or Services for violations of these Terms.


6. Third-Party Sites and Information
The Site may contain links to or references to websites, information, documents, software, materials, products, or Services provided by third parties.

Such third-party websites and services are not under our control. We are not responsible for the accuracy, legality, privacy practices, security, availability, or other aspects of third-party websites, services, or content.

The inclusion of a link or reference does not imply endorsement, association, or warranty of any kind.


7. Intellectual Property Information
For purposes of these Terms, “Content” means any information, communications, software, photographs, video, graphics, music, sounds, written materials, training materials, educational materials, and other content or Services made available through the Site.

By accessing the Site, you acknowledge and agree that Content presented through the Site may be protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws and may be the property of T-suite or its licensors.

Nothing in these Terms grants you any right to use any trademark, service mark, logo, or name of T-suite or its Affiliates without prior written permission.


8. User Materials
Subject to our Privacy Policy, any communication or material that you voluntarily transmit to T-suite, whether by email, submission form, electronic communication, or other means, may be treated as nonconfidential and nonproprietary unless we have mutually agreed otherwise in writing.

You retain ownership of materials you submit, but you grant T-Suite the rights reasonably necessary to receive, process, store, display, and use those materials in connection with providing the applicable Services.

Please do not submit confidential or proprietary information unless you have mutually agreed with T-suite in writing that such information may be submitted.


9. Disclaimer of Warranties
All materials and services on this site are provided on an “as is” and “as available” basis without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Without limiting the foregoing, t-suite does not warrant that:
(a) the services or materials will meet your requirements;
(b) the services or materials will be uninterrupted, timely, secure, or error-free;
(c) results obtained from use of the services or materials will be effective, accurate, or reliable; or
(d) the quality of any products, services, information, or materials purchased or obtained through the site will meet your expectations or be free from errors or defects.

The site may contain technical or other mistakes, inaccuracies, or typographical errors. We may make changes to the site, materials, services, prices, or descriptions at any time.


10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, T-SUITE AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES RESULTING FROM LOSS OF USE, DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

T-SUITE SHALL NOT BE LIABLE FOR THIRD-PARTY GOODS OR SERVICES OFFERED THROUGH OR IN CONNECTION WITH THE SITE.

Some states or jurisdictions do not permit certain limitations of liability. Accordingly, some of the foregoing limitations may not apply to you.


11. Indemnification
Upon request by T-suite, you agree to defend, indemnify, and hold harmless T-suite and its Affiliates from liabilities, claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use or misuse of the Site or Services, your violation of these Terms, or your violation of any applicable law or the rights of another party.


12. Participation in Promotions
From time to time, the Site may include promotions, offers, advertisements, or other information provided by T-suite or third parties.
Any transaction, correspondence, promotion, or other relationship between you and a third party is solely between you and that third party unless expressly stated otherwise.

T-suite assumes no liability or responsibility for third-party promotions, products, or services.


13. Use of Site and Storage of Material
T-suite may establish reasonable practices and limits concerning the use of the Site and Services, including limits concerning storage, access, uploaded content, and account activity.

You acknowledge that T-Suite has no responsibility or liability for deletion, loss, or failure to store Content maintained or transmitted through the Site, except as otherwise required by applicable law or expressly agreed to in writing.


14. Security and Password
You are responsible for maintaining the confidentiality of your password and account information and for all activity occurring through your account.

You agree not to share, transfer, or permit unauthorized access to your account.

You must promptly notify T-suite if you believe your account or password has been compromised.


15. Termination of Use
T-suite may, in its sole discretion, suspend or terminate your access to all or part of the Site or Services, with or without notice, for any reason, including violation of these Terms or suspected fraudulent, abusive, or illegal activity.

Upon termination or suspension, your right to use the applicable Services immediately ceases. T-suite may deactivate or delete your account and related information, subject to applicable law and our Privacy Policy.


16. SMS MESSAGING PROGRAM
T-suite may offer an SMS messaging program to individuals who voluntarily and expressly opt in to receive text messages from T-Suite.

Types of Messages
Depending on your relationship and interactions with T-suite, SMS messages may include:
• account notifications;
• administrative or other non-marketing informational messages;
• appointment, event, or program notifications and reminders; and
• marketing and promotional messages regarding T-suite’s products, services, programs, events, or offers.

Consent
By voluntarily opting in to receive SMS messages, you expressly consent to receive recurring automated text messages from T-Suite at the mobile telephone number you provide.

SMS consent is voluntary and is not a condition of purchasing goods or services from T-suite.

Your consent to receive marketing and promotional SMS messages is separate from your acceptance of these Terms of Use and our Privacy Policy.

Message Frequency
Message frequency may vary depending on your interactions with T-suite, the Services you use, and the messaging programs for which you have opted in.

Message and Data Rates
Message and data rates may apply. Please contact your wireless carrier for information regarding your mobile service plan.


Opting Out
You may withdraw your consent to receive SMS messages at any time.

To stop receiving SMS messages, reply STOP to a T-suite text message. After receiving your opt-out request, T-suite will process the request and, where applicable, send a confirmation message. You will no longer receive messages from the applicable SMS program except as permitted or required by law.

Re-Enrollment
If you later wish to receive SMS messages again, you may re-enroll through an available T-suite opt-in process.

Help and Support
For assistance with T-suite SMS messages, reply HELP to a T-suite text message or contact T-suite using the contact information provided on the T-suite website.

Carrier Liability
Wireless carriers are not liable for delayed or undelivered messages.

Privacy
T-suite does not sell, rent, or share your mobile telephone number or SMS messaging consent information with third parties or affiliates for their own marketing or promotional purposes.

SMS opt-in information and messaging consent are handled in accordance with the T-suite Privacy Policy.


17. Governing Law
This Site is controlled by T-suite from its offices in the State of Georgia. By accessing or using the Site, you agree that the statutes and laws of the State of Georgia, without regard to its conflicts-of-law principles, govern these Terms and your use of the Site and Services.


18. Notices
All notices to T-suite under these Terms must be made in writing and delivered by email, commercial overnight carrier, or conventional mail to the contact information designated by T-Suite.
Notices to you may be sent to the email address or mailing address you provide to T-suite.


19. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and T-suite concerning your use of the Site and Services and supersede prior agreements concerning the same subject matter.

To the extent anything associated with the Site conflicts with these Terms, these Terms shall control unless expressly stated otherwise in a written agreement between you and T-suite.


20. Miscellaneous
In any action to enforce these Terms, the prevailing party may be entitled to recover costs and attorneys' fees to the extent permitted by applicable law.

You may not assign your rights or obligations under these Terms without the prior written consent of T-suite. T-suite may assign its rights and obligations as permitted by law.

You agree not to sell, resell, reproduce, duplicate, copy, or commercially exploit any portion of the Site or Services except as expressly authorized by T-suite.

T-suite shall not be liable for delays or failures caused by events beyond its reasonable control.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by T-suite to enforce any provision of these Terms shall not constitute a waiver of that provision or any related right.
